Source text - English Except as set forth in Section Х as a result of the Merger and without any action on the part of the holders thereof, at the Effective Time, all outstanding Company Common Shares and Company Preferred Shares, if any, shall cease to be outstanding and shall be canceled and shall cease to exist, and each holder of a certificate or certificates which immediately prior to the Effective Time represented any such Company Common Shares ("Common Certificates") or of Company Preferred Shares ("Preferred Certificates" and together with the Common Certificates, the "Certificates") or book-entry shares which immediately prior to the Effective Time represented Company Common Shares ("Common Book-Entry Shares") or Company Convertible Preferred Shares ("Preferred Book-Entry Shares" and together with the Common Book-Entry Shares, the "Book-Entry Shares") shall thereafter cease to have any rights with respect to such Company Common Shares or Company Convertible Preferred Shares, respectively, except as provided herein or by Law.
Section 0. Termination of Exchange Fund. Any portion of the Exchange Fund which remains undistributed to the holders of Company Common Shares or Company Preferred Shares for twelve (12) months after the Effective Time shall be delivered to Parent or otherwise on the instruction of Parent, and any holders of Company Common Shares or Company Convertible Preferred Shares who have not theretofore complied with this Article 0 shall thereafter look only to Parent for, and Parent shall remain liable for, the Common Shares Merger Consideration or Preferred Shares Merger Consideration, as the case may be, to which such holders are entitled pursuant to Section 0 and any cash in lieu of fractional Parent Common Shares to which such holders are entitled pursuant to Section 0 and any dividends with respect to Parent Common Shares or Parent Convertible Preferred Shares to which such holders are entitled pursuant to Section 0. Any such portion of the Exchange Fund remaining unclaimed by holders of Company Common Shares or Company Convertible Preferred Shares five (5) years after the Effective Time (or such earlier date immediately prior to such time as such amounts would otherwise escheat to or become property of any Governmental Entity shall, to the extent permitted by Law, become the property of the Surviving Corporation free and clear of any claims or interest of any Person previously entitled thereto.
Section 0 Lost Certificates. If any Certificate shall have been lost, stolen or destroyed, upon the making of an affidavit of that fact by the Person claiming such Certificate to be lost, stolen or destroyed and, if required by the Surviving Corporation, the posting by such Person of a bond in such reasonable amount as the Surviving Corporation may direct as indemnity against any claim that may be made against it with respect to such Certificate, the Exchange Agent will deliver in exchange for such lost, stolen or destroyed Certificate the applicable Merger Consideration with respect to Company Common Shares or Company Convertible Preferred Shares, as the case may be, formerly represented thereby, any cash in lieu of fractional Parent Common Shares to which such holders are entitled pursuant to Section 0. and unpaid dividends on Parent Common Shares or Parent Convertible Preferred Shares to which such holders are entitled pursuant to Section 0.
Translation - Russian За исключением случаев, указанных в Разделе Х, в результате Присоединения и без каких-либо действий со стороны их держателей в Дату вступления в силу все находящиеся в обращении Обыкновенные акции Компании и Конвертируемые привилегированные акции Компании, при наличии таковых, изымаются из обращения, аннулируются и прекращают свое существование, а каждый держатель сертификата или сертификатов, представлявших непосредственно перед Датой вступления в силу любые такие Обыкновенные акции Компании (далее — "Сертификаты обыкновенных акций) или Конвертируемые привилегированные акции Компании (далее — "Сертификаты привилегированных акций", а вместе с Сертификатами обыкновенных акций — "Сертификаты"), или каждый держатель бездокументарных акций, представлявших непосредственно перед Датой вступления в силу Обыкновенные акции Компании (далее — "Обыкновенные бездокументарные акции") или Конвертируемые привилегированные акции Компании (далее — "Привилегированные бездокументарные акции", а вместе с Обыкновенными бездокументарными акциями — "Бездокументарные акции") лишается с этого момента каких-либо прав в отношении таких Обыкновенных акций Компании или, соответственно, Конвертируемых привилегированных акций Компании, за исключением случаев, предусмотренных настоящим документом или Законодательством.
Раздел 0. Ликвидация Обменного фонда. Любая часть Обменного фонда, остающаяся нераспределенной между держателями Обыкновенных акций Компании или Конвертируемых привилегированных акций Компании в течение 12 (двенадцати) месяцев после Даты вступления в силу, передается Материнской компании или иному указанному Материнской компанией лицу, а все держатели Обыкновенных акций Компании или Конвертируемых привилегированных акций Компании, не выполнившие к этому моменту требований настоящей Статьи 0, в дальнейшем обращаются только к Материнской компании за Выдаваемым при присоединении вознаграждением в виде обыкновенных акций или, в зависимости от обстоятельств, за Выдаваемым при присоединении вознаграждением в виде привилегированных акций, на получение которого такие держатели имеют право на основании Раздела 0, а Материнская компания остается ответственной за выдачу и того, и другого вознаграждения, а также за выплату всех денежных средств, которые выплачиваются за дробные Обыкновенные акции Материнской компании, и на получение которых такие держатели имеют право на основании Раздела 0, а также за выплату всех дивидендов по Обыкновенным акциям Материнской компании или по Конвертируемым привилегированным акциям Материнской компании, на получение которых такие держатели имеют право согласно Разделу 0. Любая такая часть Обменного фонда, остающаяся невостребованной держателями Обыкновенных акций Компании или Конвертируемых привилегированных акций Компании через 5 (пять) лет после Даты вступления в силу (или на такую более раннюю дату, которая непосредственно предшествует дате, когда такие суммы были бы в ином случае конфискованы как выморочное имущество или перешли бы в собственность какого-либо Государственного органа), становится, насколько это позволяет закон, собственностью Сохраняющейся корпорации, свободной от каких-либо притязаний или прав любого Лица, имевшего ранее право на данную часть Обменного фонда.
Раздел 0. Утерянные Сертификаты. Если какой-либо Сертификат утерян, украден или уничтожен, то после составления подтверждающего этот факт документа Лицом, утверждающим, что такой Сертификат утерян, украден или уничтожен, и при наличии такого требования Сохраняющейся корпорации, предоставления таким Лицом Сохраняющейся корпорации залога в разумной, определяемой Сохраняющейся корпорацией сумме в качестве возмещения расходов по любому иску, который может быть предъявлен к ней в связи с таким Сертификатом, Агент по обмену выдает вместо такого утерянного, украденного или уничтоженного Сертификата применимое Выдаваемое при присоединении вознаграждение за ранее представлявшиеся им Обыкновенные акции Компании или, в зависимости от обстоятельств, Конвертируемые привилегированные акции Компании, все денежные средства, выплачиваемые за дробные Обыкновенные акции Материнской компании, на которые такие держатели имеют право на основании Раздела 0, а также невыплаченные дивиденды по Обыкновенным акциям Материнской компании или по Конвертируемым привилегированным акциям Материнской компании, на которые такие держатели имеют право на основании Раздела 0.
