Marvel Entertainment, LLC and its subsidiaries ("Marvel") is the owner of the copyrights, trademarks and other intellectual property rights in the Hulk, Iron Man, Captain America and Avengers characters as well as over 8,000 other popular characters. Marvel owns and controls the rights to use and merchandise the names, designs, logos and likenesses affiliated with all of its characters and associated properties.
It has come to Marvel's attention that Mobstyle Music has been manufacturing, advertising and selling t-shirts, hats and CDs featuring the distinctive likenesses, trademarks and copyrighted designed of "Tron Man," "Hulk,» "Captain America," "Avengers" and possibly other Marvel characters. See Exhibit A. Your actions constitute blatant and egregious infringement of Marvel's valuable intellectual property.
Marvel demands that you immediately cease and desist from further unauthorized marketing, advertising, sale and/or distribution of any products containing images, likenesses, designs, artwork or other intellectual property owned by Marvel.
Marvel further demands that, within five (5) business days, you:
1. Cancel all customer orders for unauthorized Marvel-character based products.
2. Confirm in writing that you will cease any and all use of Marvel-themed materials and cease all advertising, soliciting and taking any orders on all Marvel-character themed products.
3. Remove any images and references to Marvel's intellectual property from your website.
Marvel reserves the right to take whatever remedies are available to it at law and in equity, and shall do whatever best protects its interests. Nothing in this letter shall be construed as a waiver or relinquishment of any rights or remedies available to Marvel.

This work in specialist translation concerns 3 types of legal document; (1) an extract from an international contract ‘boilerplate’ clauses, (2) ‘Corporate Bylaws’ from the state of Delaware, USA, and (3) a Judgment from the Crown Court, UK. Legal texts can have a range of styles, content and purpose in each jurisdiction. While there are many shared principles and concepts that can be translated into Italian from Common Law and Civil Law systems, some aspects are best left in English or taken from an authoritative source with justifications. Each translation is checked for legality (often with reference to International Conventions, national and even state law) and controlled to make sense in the target language. Legal documents such as a ‘Judgment’ in Common Law requires a total change in structure and even grammar to suit the audience and frequently, be applicable and enforceable in a foreign country. The 3 extracts of documents below highlight the challenges and importance of translating legal documents for the harmonization and comparison of legal systems.
AGREEMENTS - MISCELLANOUS CLAUSES
1. AMENDMENT AND WAIVER
1.1 Any amendment or variation of this Agreement must be in writing and signed by or on behalf of all Parties.
1.2 A waiver of any right under this Agreement is only effective if it is in writing and it applies only to the person to which the waiver is addressed and the circumstances for which it is given. This shall equally apply to any waiver of the provisions of the preceding sentence.
1.3 A person that waives a right in relation to one person, or takes or fails to take any action against that person, does not affect his rights against any other person.
1.4 The failure or delay by a Party in exercising any right or remedy under or in connection with this Agreement will not constitute a waiver of such right or remedy.
1.5 No waiver of any term or provision of this Agreement or of any right or remedy arising out of or in connection with this Agreement shall constitute a continuing waiver or a waiver of any term, provision, right or remedy relating to a subsequent breach of such term, provision or of any other right or remedy under this Agreement.
2. SEVERANCE
2.1 In the event that one or more provisions of this Agreement shall be, or shall be deemed to be, invalid or unenforceable, the validity and enforceability of the other provisions of this Agreement shall not be affected thereby.
2.2 If any provision of this Agreement needs to be replaced, interpreted or supplemented, this shall be done in a manner that as far as possible preserves the spirit, content and purpose of this Agreement. In this case, the provisions which the Parties would have concluded, had they been aware of the need for interpretation or for supplemental provisions at the time the Agreement was entered into, shall apply.
3. ENTIRE AGREEMENT
3.1 This Agreement constitutes the whole and only agreement and understanding between the Parties in relation to its subject matter. Subject to article (...), all previous drafts, agreements, understandings, undertakings, representations, warranties, promises and arrangements of any nature whatsoever between the Parties with any bearing on the subject matter of this Agreement are superseded and extinguished to the extent that they have such a bearing. Each Party acknowledges that in entering into this Agreement it does not rely on, and shall have no remedy in respect of, any statement, representation, assurance or warranty of any person other than as expressly set out in this Agreement.
3.2 Nothing in this Agreement shall be read or construed as excluding any liability or remedy in respect of fraud.
4. GOVERNING LAW AND JURISDICTION
4.1 This Agreement shall be governed by and construed in accordance with Italian law excluding any conflict of law or choice of law principles, rules or provisions (including the UN Convention on Contract for the International Sale of Goods) that would cause the laws of any other jurisdiction to be applicable.
4.2 All and any disputes arising from or in connection with this Agreement shall be finally settled by the Court of Milan.
4.3 Each of the Seller’s Partners irrevocably grants to the Seller the power to act in the name and on behalf of each of them in any litigation related to this Agreement, where any of the Seller’s Partners would become a party.
5 CONFIDENTIAL INFORMATION
5.1 To the extent authorized by the law, the parties may wish, from time to time, in connection with work contemplated under this Agreement, to disclose confidential information to each other (“Confidential Information”). Each party will use reasonable efforts to prevent the disclosure of any of the other party’s Confidential Information to third parties for a period of three (3) years after the termination of this Agreement, provided that the recipient party’s obligation shall not apply to information that:
a. is not disclosed in writing or reduced to writing and so marked with an appropriate confidentiality legend within thirty (30) days of disclosure;
b. is already in the recipient party’s possession at the time of disclosure thereof;
c. is or later becomes part of the public domain through no fault of the recipient party;
d. is received from a third party having no obligations of confidentiality to the disclosing party;
e. is independently developed by the recipient party; or
f. is required by law or regulation to be disclosed.
5.2 In the event that information is required to be disclosed pursuant to subsection f. and to the extent authorized by the law, the party required to make disclosure shall notify the other to allow that party to assert whatever exclusions or exemptions may be available to it under such law or regulation.
5.3 Each party shall hold in confidence for three (3) years after the termination of this Agreement any confidential information identified as confidential and obtained from the other party during the course of this Study. Nothing herein, however, shall prevent Institution or any other component of System from using any information generated hereunder for ordinary research and educational purposes of a university.
ALTERNATIVE DISPUTE RESOLUTION Mediate Arbitrate Clause
In the event of any controversy or claim arising out of or relating to this agreement including without limitation any dispute concerning the construction, validity, interpretation, enforceability or breach of this agreement or a breach thereof, the parties hereto shall first attempt to settle the dispute by mediation, administered by the American Arbitration Association under its Mediation Rules. If settlement is not reached within sixty days after service of a written demand for mediation, any unresolved controversy or claim shall be settled by arbitration administered by the American Arbitration Association under its rules The number of arbitrators shall be three.
The arbitration award shall be binding. The demand for arbitration shall be made within a reasonable time after the claim, dispute or other matter in question has arisen, and in no event shall it be made after two years from when the aggrieved party knew or should have known of the controversy, claim, dispute or breach. The Parties shall not be entitled to discovery in the arbitration except that any Party shall be entitled to depose any expert who will testify in the arbitration proceeding but shall pay the regular hourly rate of such expert during such deposition. In addition to the foregoing, any Party shall be entitled to take the deposition of a witness who will testify at the arbitration.
The arbitrators shall have no authority to award punitive/consequential/special/ indirect damages. The arbitrators shall not be entitled to issue injunctive and other equitable relief. The arbitrators shall award interest from the time of the breach to the time of award at the rate of (...)%
CORPORATE BYLAWS
ARTICLE I OFFICES
Section 1. Registered Office. The registered office of (...). (the "Corporation") shall be in the City of (...), State of Delaware.
Section 2. Other Offices. The Corporation may also have offices at such other places both within and without the State of Delaware as the Board of Directors of the Corporation (the "Board") may determine or as may be necessary or useful in connection with the business of the Corporation.
ARTICLE II
MEETINGS OF STOCKHOLDERS
Section 1. Place of Meetings. Meetings of the stockholders may be held at such place, if any, either within or without the State of Delaware, as shall be designated by the Board and stated in the notice of the meeting. In lieu of holding a meeting of stockholders at a designated place, the Board may, in its sole discretion, determine that any meeting of stockholders may be held solely by means of remote communication.
Section 2. Annual Meetings. An annual meeting of stockholders of the Corporation for the election of directors and any other proper business shall be held each year at such place, if any, on such date and at such time as shall be designated by the Board.
Section 3. Special Meetings. (a) A special meeting of stockholders may be called at any time by a majority of the Board, the Chairman of the Board, the Chief Executive Officer, if one, or the President, or by the Secretary acting under instructions of a majority of the Board, the Chairman of the Board, the Chief Executive Officer, or the President.
(b) A special meeting called by the Secretary shall be held at such date, time and place, if any, within or without the state of Delaware as may be fixed by the Board; provided, however, that the date of any such special meeting shall be not more than 90 days after the request to call the special meeting is received by the Secretary unless a later date is required in order to allow the Corporation to file the information required under Regulation 14A promulgated under the Securities Exchange Act of 1934, as amended. Notwithstanding the foregoing, the Secretary shall not be required to call a special meeting if the request to call the special meeting is received by the Secretary during the period commencing 90 days before the first anniversary of the immediately preceding year's annual meeting of stockholders and ending on the date that is 30 days after the most recent annual meeting of stockholders.

1. The traditional approach to the resolution of alleged criminal conduct is for a prosecution authority to commence proceedings by summons or charge which then proceeds in court to trial and, if a conviction follows, to the imposition of a sentence determined by the court. By s. 45 and Schedule 17 of the Crime and Courts Act 2013 (“the 2013 Act”), a new mechanism of deferred prosecution agreement (“DPA”) was introduced into the law whereby an agreement may be reached between a designated prosecutor and an organisation facing prosecution for certain economic or financial offences. The effect of such an agreement is that proceedings are instituted by preferring a bill of indictment, but then deferred on terms: these terms can include the payment of a financial penalty, compensation, payment to charity and disgorgement of profit along with implementation of a compliance programme, co-operation with the investigation and payment of costs. If, within the specified time, the terms of the agreement are met, proceedings are discontinued; a breach of the terms of the agreement can lead to the suspension being lifted and the prosecution pursued.
2. By para. 7-8 of Schedule 17 to the 2013 Act, after negotiations have commenced between a prosecutor and relevant organisation, the prosecutor must apply to the court, in private, for a declaration that entering into a DPA in the circumstances which obtain is likely to be in the interests of justice and that the proposed terms are “fair, reasonable and proportionate”. Reasons must be given for the conclusion expressed by the court and in the event of such a declaration (either initially or following further negotiation and review), formal agreement can then be reached between the parties. In that event, a further hearing is necessary for the court to declare that the agreement is, in fact, in the interests of justice and that the terms (no longer proposed, but agreed) are fair, reasonable and proportionate.
3. If a DPA is reached and finally approved, the relevant declaration, with reasons, must be pronounced in public. Thereafter, the prosecutor must also publish the agreement and the initial or provisional positive declaration (along with any earlier refusal to grant the declaration) in each case with the reasons provided. In that way, the entirety of the process, albeit then resolved, becomes open to public scrutiny.
4. On 24 February 2014, s. 45 and Schedule 17 of the 2013 Act came into force: see the Crime and Courts Act 2013 (Commencement No 8) Order 2014 (SI 2014/258). The application now before the court is the first example of its use and, having had the opportunity of studying the papers (with the background material) and hearing Sir Edward Garnier Q.C. for the Serious Fraud Office (“SFO”) and Mr Nicholas Purnell Q.C. for Standard Bank Plc (“Standard Bank”), I made it clear that I was prepared to grant a declaration pursuant to para. 7(1) of Schedule 17 although I reserved my reasons in order to reduce them into writing and provide an analysis both of the requirements of the scheme and its application to this case. This judgment (which contains the reasons for my decision) will remain private unless and until agreement is reached and a further declaration made under para. 8 of Schedule 17.
5. Schedule 17 to the 2013 Act and Part 11 of The Criminal Procedure Rules 2015 ("the 2015 Rules") prescribe the terms and conditions of this scheme in considerable detail. In short, by a DPA, the organisation (a body corporate, a partnership or an unincorporated association, but not an individual) may reach an agreement with a designated prosecutor such as the Director of Public Prosecutions or the Director of the SFO, who, in each case, must act personally. Until approved by the court, that agreement is inevitably provisional.

ACCORDI - CLAUSOLE VARIE
1. MODIFICA E RINUNCIA
1.1 Qualsivoglia modifica del presente Contratto deve essere formulata per iscritto e sottoscritta da o per conto di ogni Parte.
1.2 Una rinuncia a qualsivoglia diritto derivante del presente Contratto è efficace solo se effettuata per iscritto e si applica solo al soggetto a cui la rinuncia è indirizzata e alle circostanze per le quali è stata concessa. Ciò si applica altresì a qualsivoglia rinuncia alle clausole precedenti.
1.3 Un soggetto che rinuncia ad un diritto nei confronti di un altro soggetto, o adotta o omette di intraprendere un'azione nei confronti di tale soggetto, non pregiudica i suoi diritti nei confronti di qualsivoglia altro soggetto.
1.4 Il mancato o ritardato esercizio di qualsivoglia diritto o esperimento di qualsivoglia rimedio previsto in base al presente Contratto non sarà interpretato alla stregua di rinuncia a tale diritto o rimedio, né precluderà l’eventuale esercizio o esperimento in futuro.
1.5 Nessuna rinuncia a qualsivoglia previsione, diritto o rimedio derivante dal presente Contratto, costituirà una rinuncia a un successivo inadempimento del presente Contratto.
2. CLAUSOLA DI DIVISIBILITA’/ DI INVALIDITA’ PARZIALE
2.1 L’invalidità o la non azionabilità di qualsivoglia clausola del presente Contratto non pregiudicherà/non inficerà la validità od opponibilità di qualsivoglia altra previsione del presente Contratto, che conserverà piena validità ed efficacia.
2.2 Se una qualsivoglia previsione del presente Contratto deve essere sostituita, interpretata o complementata, si procederà in merito alle esigenze, per quanto possibile, delle altre clausole che conserveranno la propria validità, continueranno a produrre effetti giuridici e a salvaguardare l’efficacia del contratto nell’ambito delle pattuizioni tra le parti.
Qualora sia necessario sostituire, interpretare o aggiungere una delle previsioni del presente Contratto, ciò sarà eseguito in modo da preservare il più possibile il principio, il contenuto e lo scopo del presente Contratto. Si applicheranno le previsioni che le parti avrebbero stipulato se
fossero state a conoscenza della necessità di interpretazione o di modifiche al momento della stipulazione del Contratto.
3. CLAUSOLA DI ESAUSTIVITA’
3.1 Il presente Contratto rappresenta l’accordo integrale e la totalità delle pattuizioni tra le Parti e l’unico accordo in relazione al suo oggetto. Quanto previsto l'articolo (...), sostituisce qualsivoglia comunicazione, trattativa, intesa e accordo tra le stesse, di natura orale o scritta, in relazione all’oggetto del presente Contratto. Le parti possono, al momento della stipulazione del contratto, privare di validità qualunque precedente accordo preso nella fase precontrattuale in merito all’oggetto del contratto o alla sua esecuzione. Le parti, dunque, per disciplinare i propri rapporti giuridici si riferiscono esclusivamente al contratto sottoscritto e ai relativi allegati, escludendo eventuali accordi, dichiarazioni o pattuizioni che precedono lo stesso.
3.2 Il presente Contratto è inteso o interpretato al fine di escludere qualsivoglia responsabilità o rimedio in presenza di frode alla legge.
4. DIRITTO APPLICABILE
4.1 Il presente Contratto è regolato e interpretato ai sensi della legge italiana, ad esclusione di eventuali discordanze di legge o di criteri di scelta della legge, regolamenti e normative (compresa la Convenzione delle Nazioni Unite sulla vendita internazionale di beni mobili) in base al diritto applicabile della competenza.
4.2 Tutte le eventuali controversie in relazione al presente Contratto saranno risolte in via definitiva dal Tribunale di Milano.
4.3 Ciascuno dei Partner del Venditore concede irrevocabilmente al Venditore il potere di agire in nome e per conto di ciascuno di essi in qualsivoglia controversia relativa al presente Contratto, in cui qualsivoglia dei Partner del Venditore diventi parte.
5 INFORMAZIONI RISERVATE
5.1 Quanto previsto dalla normativa, le parti talvolta potrebbero voler rivelare l'una all'altra informazioni riservate ("Informazioni riservate") nell’ambito del presente Contratto. Le parti si impegnano ad adottare ogni ragionevole sforzo al fine di evitare la divulgazione a terzi di qualsivoglia Informazione riservata per un periodo di 3 (tre) anni dal decorrere dello scioglimento del presente Contratto, fermo restando che l'obbligo in capo alla parte destinataria non si applicherà ad informazioni che:
a. non siano comunicate per iscritto e contrassegnate da un'appropriata indicazione di riservatezza entro trenta (30) giorni dalla divulgazione;
b. sono già in possesso al momento della divulgazione;
c. diventa successivamente di dominio pubblico;
d. è stato ricevuto da una terza parte che non ha alcun obbligo di riservatezza nei confronti della parte divulgante;
e. è sviluppato in modo indipendente dalla parte ricevente; oppure
f. la divulgazione è subordinata dalla legge o da un regolamento.
5.2 Nell'eventualità che sia prevista la divulgazione di informazioni contenute nella clausola f., di cui sopra, e secondo le disposizioni di legge, la parte tenuta alla divulgazione informerà l'altra parte per consentirle di far valere eventuali eccezioni o esenzioni a sua disposizione in base alle suddette normative o regolamenti.
5.3 Entrambe le parti si impegnano a mantenere riservate per tre (3) anni, a partire dalla cessazione del presente Contratto, le eventuali informazioni riservate identificate nello svolgimento della propria attività di ricerca.
Tuttavia, nessuna previsione del presente Contratto impedirà all'Ente o a qualsivoglia altro componente del Sistema di utilizzare tutte le informazioni generate nel quadro del presente Contratto nello scopo ordinario di ricerca tra il suddetto Ente e un'università.
RISOLUZIONE ALTERNATIVA DELLE CONTROVERSIE
CLAUSOLA ARBITRALE/ DI ARBITRATO/ COMPROMISSORIA
Le parti dovranno consultarsi ed avviare una negoziazione e nel rispetto dei reciproci interessi e tentare di raggiungere una composizione bonaria della lite in qualsivoglia controversia o domanda derivante dal presente contratto o comunque relativa ad esso, a titolo esemplificativo e non esaustivo, relativa alla validità, all'interpretazione, all’opponibilità, risoluzione o ad un suo inadempimento. Qualora non si raggiunga un accordo fra le parti al termine di (60) sessanta giorni dalla notifica di una domanda scritta di mediazione, qualsivoglia controversia o divergenza ancora in essere sarà disciplinata mediante arbitrato amministrato dall’American Arbitration Association in conformità con il Regolamento di Arbitrato Internazionale ICDR/norme procedurali. Il tribunale arbitrale sarà composto da tre arbitri.
Il lodo arbitrale sarà vincolante e definitivo. La domanda di arbitrato dovrà essere depositata entro un tempo ragionevole dall'insorgenza della controversia o dell'altra materia in oggetto, non oltre due anni a partire dal momento in cui la parte attrice conosceva o avrebbe dovuto conoscere la controversia, la rivendicazione o gli eventuali inadempimenti.
Le parti non avranno diritto all’esibizione di prove/discovery nell'ambito dell'arbitrato, ad eccezione del fatto che ogni parte avrà il diritto di chiamare un terzo a dirimere la controversia nel procedimento arbitrale, a cui dovrà corrispondere una tassa per la suddetta consulenza.
Ad integrazione di quanto sopra, qualunque Parte avrà il diritto di chiamare la deposizione di un testimone nel procedimento arbitrale.
Gli arbitri non avranno il potere di concedere risarcimento per danni consequenziali o punitivi. Gli arbitri non avranno il diritto di emettere provvedimenti ingiuntivi o altri provvedimenti equitativi. Gli arbitri riconosceranno gli interessi a partire dall'inadempimento al momento del lodo al tasso del (...)%.

TITOLO I
SEDE SOCIALE
Articolo 1. Sede sociale. La sede legale di (...). (la "Società") si svolgerà nella città di (...), Stato del Delaware.
Articolo 2. Altre Sedi. La Società può altresì avere sede in altri luoghi, sia all'interno che all'esterno dello Stato del Delaware, secondo quanto stabilito dal Consiglio di amministrazione della Società (il "Consiglio") o secondo quanto necessario o utile in relazione agli affari della Società.
TITOLO II
ASSEMBLEA DEI SOCI
Articolo 1. L’indicazione del luogo dell’adunanza assembleare.
L’assemblea dei soci si svolgerà nel luogo, all'interno o all'esterno dello Stato del Delaware, nominato dal Consiglio e indicato nell'avviso di convocazione. Il Consiglio può, a sua esclusiva discrezione, stabilire che qualsivoglia assemblea dei soci possa svolgersi esclusivamente tramite mezzi di audio/video conferenza, invece di tenere un'assemblea dei soci in un luogo fisso.
Articolo 2. L’assemblea ordinaria.
La Società si riunisce una volta all’anno in assemblea ordinaria alla data, all'ora e nel luogo dell’adunanza stabilito dal Consiglio per la votazione degli amministratori e per qualsivoglia materia da trattare.
(a) L'assemblea straordinaria dei soci è convocata su richiesta in ogni momento dalla maggioranza del Consiglio, dal Presidente, dall'Amministratore delegato, se presente, oppure dal Segretario che agisce su indicazione del giorno deliberato dalla maggioranza dell'organo amministrativo.
(b) L’assemblea straordinaria dei soci è convocata dal Segretario della società e si svolgerà alla data, all'ora e nel luogo, all'interno o all'esterno dello Stato del Delaware, come stabilito dal Consiglio, a condizione che la data dell'assemblea non sia superiore a 90 giorni dalla data di ricezione dell’avviso di convocazione e salvo che non sia richiesta una data successiva per consentire alla Società di depositare l’indicazione del giorno in merito al Regolamento 14A promulgato ai sensi del Securities Exchange Act del 1934, con le modifiche approvate.
Nonostante quanto sopra, il Segretario non sarà tenuto a convocare un'assemblea straordinaria qualora l'avviso gli venisse consegnato nel lasso di tempo che decorre dai 90 giorni dalla prima ricorrenza dell'assemblea ordinaria dell'anno precedente e che scadrà a 30 giorni dall'ultima assemblea straordinaria dei soci.
(c) Nel corso dell'assemblea straordinaria si osserverà unicamente l’ordine del giorno indicato nell'avviso di convocazione della medesima (o in qualsiasi allegato).
In deroga a qualsivoglia articolo del presente Statuto qualora venga richiesta un'assemblea straordinaria, si adotta, attraverso il Consiglio, una richiesta scritta in conformità dall'articolo 3(b) del presente articolo II; fermo restando che nulla di quanto qui previsto proibisce di sottoporre al voto materie aggiuntive nell'ambito di un'assemblea straordinaria dei soci.
Articolo 4. Decisioni dei soci - quorum deliberativo.
Se non diversamente previsto dalla Delaware General Corporation Law o dal Certificato di Costituzione della Società (il "Certificato di Costituzione"), un quorum deliberativo è costituito dalla presenza di tanti soci che rappresentano almeno la metà del capitale sociale e che deliberano a maggioranza assoluta del capitale presente. I voti possono essere espressi sia personalmente che per procura, per lo svolgimento dell'ordine del giorno.
Qualora fosse una votazione separata per una categoria speciale di azioni a voto plurimo, la maggioranza delle azioni o quote rimanenti a voto pieno, limitato o senza diritto di voto, ovvero, azioni appartenenti a serie o gruppi, rappresentate per delega o di persona, costituirà un quorum idoneo ad esercitare il proprio voto su suddetta materia.

l’illustrissimo signor giudice, Brian Leveson :
1. L'approccio tradizionalmente adottato per il codesto tribunale ai fini dell'accertamento di una presunta condotta penalmente perseguibile, consiste nell'avvio di un procedimento, tramite un disegno dell’atto di citazione, da parte di un procuratore che successivamente procederà in tribunale fino allo svolgimento ordinario del procedimento, l'entità della condanna.
All'interno della legge Section. 45 e Schedule 17 del Crime and Courts Act 2013 ("Legge del 2013"), è stato introdotto un nuovo strumento della messa alla prova dell’ente al fine di ottenere l’estinzione dell’illecito amministrativo da reato, denominato Deferred Prosecution Agreement ("DPA"), che consente di raggiungere un accordo tra un procuratore designato e un ente indagato.
La conseguenza di quanto sopra è che il procedimento viene avviato tramite l'atto di citazione in giudizio, dunque, è sottoposto alla ricorrenza di determinati presupposti fra i quali figurano una sanzione pecunaria, un pagamento in beneficenza, una restituzione dei profitti, una retroversione di utili o eventualmente un risarcimento alle vittime del reato societario e spese relative al processo, oltre all'adozione di un compliance program in un’ottica di cooperazione investigativa.
Qualora, nell'arco di tempo stabilito, i termini dell'accordo vengano raggiunti, il procedimento viene sospeso; una violazione dei termini dell'accordo può portare alla revoca della sospensione e all'esercizio dell’azione penale.
2. In virtù dei paragrafi 7-8 del Schedule 17 alla Legge del 2013, il procuratore deve rivolgersi, in via privata, al codesto tribunale in seguito all'avvio delle trattative tra il procuratore e l'ente indagato per una dichiarazione dal codesto giudice che la stipula di un DPA nelle circostanze constatate è suscettibile di essere nell'interesse della giustizia e che i termini proposti sono "equi, ragionevoli e proporzionati". L’approvazione deve avvenire con decisione motivata e ai fini della conclusione di un accordo legittimo al fine di scongiurare possibili abusi, e, soprattutto, si prevede espressamente che i contenuti debbano corrispondere a criteri di equità, ragionevolezza e proporzione. Un accordo formale può essere raggiunto tra le parti all’inizio o a seguito di un'ulteriore negoziazione e revisione. L’accordo deve invece essere sottoposto allo scrutinio del codesto tribunale, e la deliberazione avrà come oggetto il rispetto dei suddetti criteri accordati, oltre che la corrispondenza alle esigenze di giustizia.
3. Una volta approvato un DPA, la relativa dichiarazione con le sue giustificazioni dovrà essere resa pubblica. Successivamente, il procuratore dovrà pubblicare l'accordo stipulato e la dichiarazione positiva iniziale o provvisoria con le proprie giustificazioni (insieme ad eventuali precedenti rifiuti di concedere la dichiarazione). Il processo in toto, al di là della sua conclusione, diventerà di dominio pubblico.
4. Il 24 febbraio 2014 la Section 45 e Schedule 17 della Legge del 2013 è entrata in vigore: riferimento al Crime and Courts Act 2013 (Commencement No 8) Order 2014 (SI 2014/258). Si tratta del primo esempio di applicazione di suddetta materia davanti al tribunale, a seguito di uno studio approfondito e di considerazioni da parte del tribunale stesso, inter alia, Sir Edward Garnier Q.C. per il Serious Fraud Office ("SFO") e Nicholas Purnell Q.C. per Standard Bank Plc ("Standard Bank").
Il tribunale riteneva la sua disponibilità a concedere una dichiarazione in base al paragrafo 7 (1) del Schedule 17. 7(1). Il codesto tribunale riteneva le sue motivazioni per metterle per iscritto e fornire una valutazione sia dei requisiti dell’istituto dei DFAs che della sua applicazione in materia del procedimento. La presente sentenza (che contiene le motivazioni della decisione) rimarrà privata fatto salvo che, e fino a quando non si raggiunga un accordo e non venga emessa un'ulteriore dichiarazione in base al paragrafo 8 del Schedule 17.
5. Schedule 17 alla Legge del 2013 e la Parte 11 delle Norme di Procedura Penale 2015 ("le Norme del 2015") prescrivono le condizioni in dettaglio del negozio giuridico. In breve, con un DPA, l'ente (una persona giuridica, una partnership o un'associazione non costituita, ma non una persona fisica) può raggiungere un accordo con un procuratore designato che, come il Director of Public Prosecutions o il Director of the SFO, in ogni caso, deve agire personalmente. Tale accordo è inevitabilmente provvisorio fino all'approvazione del codesto tribunale.
