Україна, м. Житомир 27.11.2016 року
ПП «В і Є Підприємство» (Україна) в особі директора Петренко Петра Петровича, що діє на підставі виписки з єдиного державного реєстру юридичних осіб та фізичних осіб - підприємців, в подальшому – „Покупець”, з однієї сторони, і BIG COMPANY LIMITED (Англія), в особі John Dow, що діє на підставі установчих документів в подальшому – „Продавець”, з другої сторони, що спільно іменуватимуться у подальшому – „СТОРОНИ”, уклали цей контракт на поставку товарів №271116 у подальшому – „КОНТРАКТ”, про наступне :
1. Предмет Контракту
1.1. Предметом Контракту є вода з найменуванням зазначеним у Специфікаціях (далі – Товар). Поставка товару здійснюється відповідно до замовлення Покупця. Кожне замовлення укладається у формі Специфікації, яка є невід’ємною частиною цього Контракту. У кожній специфікації Сторони погоджують конкретний перелік товару та інші умови.
2. Ціни і загальна вартість Контракту
2.1. Базова валюта контракту – англійський фунт стерлінгів.
2.2. Загальна вартість Товару, що буде поставлятись по цьому Контракту, становить 50 000 (п’ятдесят тисяч) англійських фунтів стерлінгів.
2.3. Ціни окремих позицій будуть вказані в Специфікаціях до цього Контракту.
2.4. Ціни на товар вказуються у англійських фунтах стерлінгів на умовах EXW Blackford, Шотландія. Умови поставки можуть бути змінені за взаємною згодою сторін, про що підписується додаткова угода
3. Умови і порядок оплати
3.1. Оплата Товару, проводиться у формі попередньої оплати шляхом банківського переказу.
4. Умови і терміни поставки
4.1. При тлумаченні положень Контракту в базисних умовах поставок будуть використовуватися правила тлумачення міжнародних торгових термінів, відповідно до положень "Інкотермс 2010".
5. Гарантії та кількість
5.1. Якість Товару, який поставляється за цим Контрактом повинна відповідати якості, вказаній в документах, що додаються до Товару на кожну поставку, та буде залишатись незмінною протягом терміну дії цього Контракту.
5.2. Кількість – сума усіх відвантажених інвойсів, яка поставляється по цьому контракту повинна відповідати кількості, вказаній в Специфікації на кожну поставку.
5.3. Якщо під час прийому товару, який поставляється, будуть виявлені технічні недоліки, невідповідність кількості товару, Продавець зобов’язується відшкодувати вартість неякісного або недопоставленого товару протягом 30 (тридцяти) календарних днів.
5.4. Рекламації на дефекти повинні бути надані Продавцю письмово протягом 14 (чотирнадцяти) днів від дати отримання товару по цьому контракту.
5.5. Дефектний Товар, який був замінений, повертається Продавцю за його вимогою і за його рахунок.
5.6. Виробник товару: зазначається в специфікації.
Країна походження товару: зазначається в специфікації.
6. Упаковка і маркування
6.1. Товар повинен відвантажуватися в експортній упаковці, яка відповідає характеру даного виду Товару.
6.2. Упаковка повинна забезпечувати повне збереження вантажу пiд час транспортування.
6.3. Упаковка повинна бути пристосована для перевантажень ручним методом, на візках і автокарах, наскільки це допускається вагою і об’ємом окремих місць.
6.4. Продавець несе відповідальність перед Покупцем за псування Товару внаслідок неналежної упаковки.
7. Форс-мажор
7.1. Жодна із Сторін не буде нести відповідальність за невиконання своїх зобов’язань за цим Контрактом, якщо це буде наслідком Форс-мажорних обставин, зокрема: стихійних лих, екстремальних погодних умов, пожеж, воєн, військових дій, громадянських безпорядків, ембарго і т. інше. У цьому випадку час виконання зобов’язань за цим Контрактом відтерміновується на час дії відповідних обставин.
7.2. Сторона, для котрої створилися Форс-мажорні обставини, зобов’язана негайно, не пізніше 10 днів від початку таких обставин, повідомити іншу Сторону про це шляхом документального підтвердження на підставі актів Торгово-промислової палати.
7.3. Після настання Форс-мажорних обставин і повідомлення про це, Сторони негайно погоджують заходи, які необхідні для виходу із Форс-мажорних обставин.
7.4. Сторона, яка не повідомила або несвоєчасно повідомила про настання Форс-мажорних обставин, не може в подальшому посилатися на дію Форс-мажорних обставин як підставу невиконання своїх зобов’язань.
8. Арбітраж
8.1. Всі спори, які виникли при виконанні цього Контракту і по яких не було досягнуто домовленості мирним шляхом, передаються Сторонами на розгляд і остаточне вирішення Міжнародним комерційним арбітражем (м.Київ).
8.2. Рішення Міжнародного комерційного арбітражу (м.Київ) є кінцевим і обов’язковим для обох Сторін. В тих випадках, коли згідно із умовами Контракту Покупець має право анулювати Контракт або відступитися від нього, немає необхідності звертатися до Трибуналу. Усі арбітражні витрати покриваються Стороною, яка програла спір.
9. Загальні положення
9.1. Зміни і доповнення до цього Контракту дійсні лише в тому випадку, якщо вони здійснені в письмовій формі і підписані Сторонами, що домовляються.
9.2. Контракт, надісланий по факсу або електронною поштою, має однакову із оригіналом силу за умови наступного обміну оригіналами між Сторонами.
9.3. Цей Контракт укладений в двох примірниках українською і англійською мовами, які мають однакову юридичну силу.
У випадку виникнення розбіжностей між українським і англійським текстом, перевага надається українському.
9.4. Після підписання цього Контракту всі попередні переговори і листування по ньому втрачають юридичну силу.
9.5. Контракт є чинним до 31 грудня 2017 року.

Private Enterprise "V & Ye Company" (Ukraine) represented by Petrneko Petro Petrovych who is acting upon the authority of the statement from the Unified Register of Legal and Physical Entities-Entrepreneurs (hereafter referred to as BUYER) on one side and BIG COMPANY (England) represented by John Dow who is acting upon the authority of the articles of association (hereafter referred to a SELLER) on the other side, both sides hereafter referred to as PARTIES, have entered into this contract for delivery of goods No. 271116 (hereafter referred to as CONTRACT) concerning the following:
1. Contract Subject
1.1. The Subject of Contract is Water named as stated in the Specifications (hereafter referred to as Goods). The Goods shall be delivered according to orders issued by Buyer. Each order shall be drawn up as a Specification, which shall be an integral part of this Contract. Each Specification shall contain a specific list of Goods and other terms and conditions agreed upon by the Parties.
2. Contract Prices and Total Amount
2.1. British pound sterling shall be used as the base currency of the contract.
2.2. The total sum of Goods to be supplied under this Contract is 50,000 (fifty thousand) British pounds sterling.
2.3. Prices of individual items are to be specified in the Specifications to this Contract.
2.4. Goods prices shall be given in British pound sterling EXW Blackford, Scotland. Delivery terms and conditions may be changed upon a mutual agreement of the Parties, to which an additional agreement shall be signed.
3. Conditions and Procedure of Payment
3.1. Payment for the Goods shall be made on a prepayment basis via bank transfer.
4. Conditions and Terms of Delivery
4.1. Contract provisions concerning base delivery conditions shall be interpreted using international trade terminology interpretation rules pursuant to Incoterms 2010.
5. Warranty and Quantities
5.1. The quality of the Goods delivered under this Contract must be of the quality specified in the documents enclosed with the Goods for each delivery, and shall not change for the duration of this Contract.
5.2. The quantity - the total of all shipped invoices - delivered under this Contract shall be the same as the quantity indicated in the Specification for each delivery.
5.3. Should there be any technical defects or shortages of the Goods being delivered discovered at the receiving time, Seller shall recompense the cost of the defective or undelivered Goods during 30 (thirty) calendar days.
5.4. Claims for defective Goods compensation must be submitted to Seller in writing within 14 (fourteen) days from the date the Goods under this contract are received.
5.5. The defective Goods for which replacements have been provided shall be returned to Seller upon its request and at its expense.
5.6. Manufacturer of Goods: indicated in the Specification.
Country of origin: indicated in the Specification.
6. Packaging and Marking
6.1. Goods must be shipped in export packaging that is appropriate to the nature of this type of Goods.
6.2. The packaging must ensure complete safety of the cargo during transportation.
6.3. To the extent allowable by the weight and volume of individual cargo pieces, the packaging must allow manual handling and reloading by hand and powered carts.
6.4. Seller shall be liable to Buyer for damage of Goods due to inappropriate packaging.
7. Force Majeure
7.1. No party shall be liable for not performing under this Contract because of force majeure circumstances, including the following: natural disasters, extreme weather conditions, fires, wars, military hostilities, civil disorders, embargoes, etc. In such case, performing under this Contract shall be postponed for the duration of the corresponding circumstances.
7.2. The Party affected by force majeure circumstances must inform the other Party of them in writing supported by Chamber of Commerce certificates no later than 10 (ten) days after the inception of such circumstances.
7.3. After inception of force majeure circumstances and informing of them, the Parties shall coordinate measures necessary for extricating from these circumstances.
7.4. Should a Party not inform the other Party of force majeure circumstances or inform of them later than the allowed time period, it shall not be able to use them as a justification for not performing its obligations.
8. Arbitrage
8.1. All disputes arising during the execution of this Contract and not amicably resolved shall be submitted by Parties for consideration and final resolution to the International Commercial Arbitrage (in the city of Kyiv).
8.2. The decision of the International Commercial Arbitrage (in the city of Kyiv) shall be final and mandatory for both Parties. In cases when Contract terms allow Buyer rescind or abjure the Contract, resorting to arbitration shall be not necessary. All arbitrage related expenses shall be borne by the losing party.
9. General Provisions
9.1. Any changes of and/or amendments to this Contract shall be valid only if made in writing and signed by the contracting Parties.
9.2. Contract sent by fax or email shall be valid as the original, subject to subsequent exchange of originals between the Parties.
9.3. This Contract has been drawn in two copies in Ukrainian and English, both of which have equal legal force.
Should there be any discrepancies between the Ukrainian and the English copies, the Ukrainian copy shall prevail.
9.4. After signing of this Contract, all prior negotiations and correspondence concerning it shall no longer have any legal force.
9.5. The Contract shall be valid until December 31, 2017
