"Either party hereto may disclose any confidential or proprietary information received from or on behalf of the other party hereto to the extent that the party seeking disclosure has been advised by counsel that such disclosure is necessary to comply with applicable laws or regulations, provided that the party seeking disclosure, to the extent lawful and reasonably practicable, shall give the other party hereto reasonable notice of such proposed disclosure, use its best efforts to secure confidential treatment of any such information, and provide the other party hereto with an opportunity to object to such disclosure"
