... it has obtained all authorizations and all other applicable governmental, statutory, regulatory or other consents, clearances, approvals, licences, waivers or exemptions required to empower it to enter into and to perform its obligations under this Deed and the SHA and for this Deed and the SHA to be duly and validly authorised, executed and delivered by it.
