Subject to articles 35.2 and 35.3, a Shareholder shall not be entitled to transfer the registered or beneficial interest in any Share, otherwise than in accordance with the Articles. The Directors shall approve and register any transfer of Shares made in accordance with these Articles but shall not otherwise register or approve any such transfer. In these Articles references to “transfer” in the context of Shares or any similar expression shall include the transfer of the registered and/or beneficial interest in a Share.
