This is part of a Study Services Agreement between an Angolan Oil Company (Company A) and an Offshore Company (Company B)

Whereas Company B has expertise in the offshore oil and gas exploration and production industry and the marine industry in general.

Whereas Company A desires to use Company B's services for consulting engineering, construction supervision, etc.

6. Intellectual Property Rights

6.4 Except as otherwise agreed in a Work Order, (such as for flow-down purpose of the Client’s terms and conditions or due to the nature of the Services, in each case provided it is explicitly agreed in the applicable Work Order) the Foreground Intellectual Property in Deliverables, developed in execution of and/or arising out of performance of the Services under the Agreement, shall remain the exclusive property of XOMPANY A, who hereby grants to the COMPANY B a royalty-free, non-exclusive license and right to use same strictly limited to the purpose of the Project defined in the applicable Work Order issued pursuant to this Agreement, and for that sole purpose to the exclusion of any other.
