Source text - Turkish Madde 3 – MÜŞTERİ’NİN YÜKÜMLÜLÜKLERİ
3.1 MÜŞTERİ, gerekli çalışmaların yapılabilmesi için gerekli yazılı bilgileri (anahtar kelimeler ve reklam metni) XXX ’e tedarik etmekle yükümlüdür.
3.2 MÜŞTERİ, XXX tarafından üretilen kampanya, reklam grubu ve reklam metni için kullanılan özel tekniklerin telif hakkının XXX ’e ait olduğunu ve hiçbir şekilde çoğaltılıp, dağıtılamayacağını kabul ve beyan eder.
3.3 MÜŞTERİ kendisi tarafından sağlanan bilgilerin doğru ve hukuka uygun olduğunu kabul ve taahhüt eder.
XXX, MÜŞTERİ tarafından kendisine iletilen veya www.ZZZ.com.tr üzerinden kendisi tarafından girilen bilgilerin doğruluğunu araştırma; bu bilgi ve içeriklerin güvenli, doğru ve hukuka uygun olduğunu taahhüt ve garanti etmekle yükümlü ve sorumlu olmadığı gibi söz konusu bilgilerin yanlış veya hatalı olmasından dolayı ortaya çıkacak hiçbir zarardan da sorumlu tutulamaz.
MÜŞTERİ, dile getirdiği tüm fikir, düşünce, ifade, yorum ve yazıların kendisine ait olduğunu, XXX’ in hiçbir şekilde sorumlu olmadığını kabul ve beyan eder.
3.4 MÜŞTERİ, reklam yönetiminden sorumlu olacak şirket yetkilisini belirlemek zorundadır.
3.5 MÜŞTERİ, hizmetten faydalanırken ve hizmetle ilgili herhangi bir işlemi yerine getirirken işbu sözleşme içerisinde yer alan tüm şartlara, belirtilen kurallara ve yürürlükteki tüm mevzuata uygun hareket edeceğini ve bu sözleşmede belirtilen tüm şart ve kuralları anladığını ve onayladığını kabul eder.
3.6 MÜŞTERİ, XXX’ in yürürlükteki emredici mevzuat hükümleri gereğince resmi makamlara açıklama yapmakla yükümlü olduğu durumlar içerisinde, resmi makamlarca usulü dairesinde bu bilgilerin talep edilmesi halinde MÜŞTERİ’ye ait gizli/özel/ticari bilgileri resmi makamlara açıklamaya yetkili olacağını ve bu sebeple XXX’ den her ne nam altında olursa olsun tazminat talep edilemeyeceğini kabul eder.
3.7 MÜŞTERİ, XXX’in yazılı onayı olmadan işbu sözleşmeyi veya bu sözleşmenin kapsamındaki hak ve yükümlülüklerini kısmen veya tamamen herhangi bir üçüncü kişiye devredemez.
3.8 Müşteri hizmeti dahilinde barındırdığı tüm dosya, döküman ve programlardan, web sitesi ve e-mail hizmetleri ile kullanacağı ve faydalanacağı tüm işlemlerden kendisi sorumlu olduğunu, söz konusu veri, bilgi ve beyanların yasalara aykırılığından doğabilecek tüm hukuki ve cezai sorumluluğu kendisi karşılamayı kabul ve taahhüt eder.
İş bu konuda doğabilecek sorunlardan XXX’e herhangi bir kusur iletilemez.
3.9 MÜŞTERİ, herhangi bir koşulda ödeme iadesi talep edemez.
3.10 Teklifin kabulü ve sözleşmenin imzalanmasından itibaren Müşteri, tarafların kararlaştırdığı hizmet bedelini peşin olarak ödemeyi kabul ve taahhüt eder.
3.11 Müşteri gönderilen iletişim bilgilerinin doğruluğunu şimdiden kabul ve taahhüt eder.
Müşterinin göndermiş olduğu iletişim bilgilerinin doğruluğu yine müşterinin sorumluluğunda olup, bu konulardan doğabilecek her türlü zarar ve ziyandan müşteri sorumlu olacaktır.
3.12 Müşteri, XXX’in yazılı onayı olmadan işbu sözleşmeyi veya bu sözleşmenin kapsamındaki hak ve yükümlülüklerini kısmen veya tamamen herhangi bir üçüncü kişiye devredemez.
Translation - English Article 3 – LIABILITIES OF THE CUSTOMER
3.1 The CUSTOMER shall be liable for providing XXX with necessary written data (keywords and advertising copy) for the performance of necessary actions.
3.2 The CUSTOMER agrees and represents that the copyright of any specific techniques employed for campaign, advertising group and advertising copy as developed by XXX is proprietary to XXX and such techniques shall be neither reproduced nor distributed under any circumstances.
3.3 The CUSTOMER agrees and warrants that any data furnished by the CUSTOMER is accurate and lawful.
XXX shall have no liability or responsibility for searching the accuracy of any data submitted by the CUSTOMER to XXX or entered by the CUSTOMER via www.ZZZ.com.tr and for warranting and guaranteeing the authenticity, accuracy and lawfulness of such data and content, and shall not be held liable for any damages arising from the inaccuracy or wrongness of such data.
The CUSTOMER agrees and represents that all opinions, ideas, expressions, comments and writings stated/mentioned by the CUSTOMER are the property of the CUSTOMER and XXX is not liable for the same under any circumstances.
3.4 The CUSTOMER should designate a company executive having liability for the management of advertising.
3.5 The CUSTOMER agrees to act in accordance with all terms and conditions hereof, given rules and applicable legislation in whole when using the service and taking any action with respect to the service and that it has understood and approved all terms and conditions provided herein.
3.6 To the extent that XXX is obliged to make disclosure to public authorities pursuant to the provisions of mandatory legislation in effect, the CUSTOMER agrees that XXX shall have power to disclose the CUSTOMER's confidential/exclusive/commercial information to public authorities if such information is duly required by the said public authorities and no damages whatsoever may be claimed against XXX therefore.
3.7 The CUSTOMER may not assign this agreement or its rights and liabilities hereunder to any third party in part or in whole without the written consent of XXX.
3.8 The CUSTOMER agrees and warrants that it shall be solely liable for all files, documents and programs stored within the framework of its service and all processes used and utilized through web site and e-mail services, and shall assume all legal and penal liabilities arising from the unlawfulness of such data, information and representations.
No fault may be attributed to XXX by virtue of any issues arising in this respect.
3.9 Under no circumstances may the CUSTOMER claim refund.
3.10 The CUSTOMER agrees and warrants to pay, in advance, the service fee agreed by the parties as from the acceptance of the offer and the execution hereof.
3.11 The CUSTOMER already agrees and warrants the accuracy of contact details submitted.
The CUSTOMER itself shall be liable for the accuracy of contact details submitted by the CUSTOMER, and the CUSTOMER shall have liability for any kind of potential damage and loss arising in this respect.
3.12 The CUSTOMER may not assign this agreement or its rights and liabilities hereunder to any third party in part or in whole without the written consent of XXX.

When we asked nearly 1,500 executives across the globe* to tell us how they spent their time, we found that only 9 percent of the respondents deemed themselves “very satisfied” with their current allocation.
Less than half were “somewhat satisfied,” and about one-third were “actively dissatisfied.”
What’s more, only 52 percent said that the way they spent their time largely matched their organizations’ strategic priorities.
Nearly half admitted that they were not concentrating sufficiently on guiding the strategic direction of the business.
These last two data points suggest that time challenges are influencing the well-being of companies, not just individuals.
The survey results, while disquieting, are arguably a natural consequence of the fact that few organizations treat executive time as the finite and measurable resource it is.
Consider the contrast with capital.
Say that a company has $2 billion of good capital-investment opportunities, all with positive net present value and reasonably quick payback, but just $1 billion of capital readily available for investment.
The only options are either to prioritize the most important possibilities and figure out which should be deferred or to find ways of raising more capital.
Leadership time, by contrast, too often gets treated as though it were limitless, with all good opportunities receiving high priority regardless of the leadership capacity to drive them forward.
No wonder that so few leaders feel they are using their time well or that a segmentation analysis of the survey data revealed the existence not only of dissatisfied executives but of four distinct groups of dissatisfied executives—“online junkies,” “schmoozers,” “cheerleaders,” and “firefighters”—whose pain points, as we’ll see, reflect the ways organizations ignore time (for a full description of each group, see the narrated slideshow, “Time management: Four flavors of frustration”).
*The online survey was in the field from November 8 to November 18, 2011, and garnered responses from 1,374 executives at the level of general manager or above.
Respondents represent all regions, industries, company sizes, forms of ownership, and functional specialties.
To adjust for differences in response rates, the data are weighted by the contribution of each respondent’s nation to global GDP.
