CONFIDENTIALITY AGREEMENT
This Agreement dated September 16, 2016 is by and between Flint Group Printing Systems US LLC, d/b/a Flint Group Flexographic Products (“Flint Group”), having a place of business at 2401 Whitehall Park Drive, Suite 100, Charlotte, NC, 28273, and ___________ (“Other Party”), having a place of business at ________________________.
The intent of this Agreement is for the parties to protect each party’s intellectual property, product information and product developments (“Purpose”). In order to facilitate the Purpose contemplated hereunder, Flint Group may receive from, and may provide to, Other Party certain Confidential Information, as defined below. Each party’s information is proprietary, secret, and confidential, and will be disclosed by one party to the other party on the following terms and conditions.
“Confidential Information” shall mean any and all proprietary business, technical, and financial information related to the Purpose set forth above and disclosed by one party to the other party, either directly or indirectly. Confidential Information may include, by way of example, but without limitation, products, samples, software, specifications, formulae, research and development projects, unpublished inventions and patent applications, equipment, business strategies, customer lists, know-how, drawings, pricing information, invention, ideas, and other information or its potential use, that is owned by or in the possession of Flint Group or Other Party.
In consideration of the mutual benefit of any such disclosure, and acknowledging the importance of maintaining the secrecy of any such disclosed Confidential Information, Flint Group and Other Party agree as follows:
1. Each party agrees to maintain the other party’s Confidential Information in confidence and not disclose any Confidential Information to any third party except as expressly provided in this Agreement or agreed to by the other party in writing. The receiving party will not use the other party’s Confidential Information except for the Purpose of this Agreement. In particular, the receiving party will not use the other party’s Confidential Information in any application for patent, either US or foreign, without the disclosing party’s written consent. The receiving party shall use the same degree of care, but no less than a reasonable degree of care, as the receiving party uses to protect its own Confidential Information of a like nature to prevent disclosure of the Confidential Information to third parties.
2. The receiving party’s obligations will apply to Confidential Information that is:
(a) disclosed in tangible form and identified as “CONFIDENTIAL” at the time of disclosure; or
(b) disclosed orally, identified as confidential at the time of disclosure and, within thirty (30) days of the initial disclosure, is summarized and designated as “CONFIDENTIAL” in writing and delivered to the receiving party.
3. The obligations of this Agreement will not apply to any item of Confidential Information that
(a) is or becomes generally available to the public through no fault of the receiving party,
(b) was known to the receiving party prior to its disclosure by the disclosing party, as demonstrated by materials in existence at the time of disclosure,
(c) becomes known to the receiving party, without restriction, from a source other than the disclosing party, without breach of this Agreement by the receiving party and otherwise not in violation of the disclosing party's rights, or
(d) is independently developed by or for the receiving party.
(e) Confidential Information will not be considered to fall within the above exceptions merely because it is within the scope of more general information within an exception. A combination of features will not be considered to fall within the above exceptions unless the combinations itself, including its principles of operation, are within the exceptions.
4. The obligations of this Agreement will not apply to any item of Confidential Information that is required by law to be disclosed. If a party is required by judicial or administrative process to disclose Confidential Information of the other, the party so required shall promptly notify the other so that the latter has a reasonable opportunity to oppose or limit such disclosure.
5. The obligations of this Agreement will apply to Confidential Information disclosed from April 15, 2014 through March 31, 2017, unless sooner terminated in writing by the parties (“Term”).
6. The obligations of this Agreement will continue for a period of five (5) years from the end of the Term of this Agreement.
7. Nothing contained in this Agreement shall be construed to obligate in any way either party to purchase or sell any goods or services or enter into any transaction whatsoever. If either party determines that it does not wish to enter into any transaction with the other, such party will promptly advise the other party of this fact. In such case or promptly upon the other party's request, each party will either destroy or deliver to the other party any Confidential Information furnished to it, except that one copy may be retained by legal counsel for archival purposes only.
8. Notwithstanding any other provision of this Agreement to the contrary, each party agrees that it will not disclose or transfer any Confidential Information of the other party, or any product made by using of the Confidential Information, directly or indirectly, to any country (or to any individuals in or representing such country) to which such disclosure or transfer is prohibited or regulated by the laws and regulations of the United States of America (including, without limitation, the export administration regulations of the United States Department of Commerce), unless the party has first obtained the other party's prior written consent and a valid export license from the United States Department of Commerce.
9. The validity, interpretation, and performance of this Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina without resort to its conflicts of laws provisions. Both parties irrevocably consent to the jurisdiction of all state and federal courts sitting in Mecklenburg County, North Carolina and agree that venue for any legal action brought in connection with this Agreement shall lie exclusively in such courts.
10. This Agreement constitutes the full understanding of the parties and a complete and exclusive statement of their agreement with respect to the Purpose and obligations of this Agreement. This Agreement may not be amended, except by a written document that specifically references this Agreement and is signed by authorized officers of both parties.

ACUERDO DE CONFIDENCIALIDAD
Este acuerdo con fecha del September 16, 2016 se celebra entre Flint Group Printing Systems US LLC, d/b/a Flint Group Flexographic Products (“Flint Group”), con sede comercial en 2401 Whitehall Park Drive, Suite 100, Charlotte, NC, 28273 y ___________ (“Otra parte”), con sede comercial en ________________________.
La intención de este Acuerdo es que las partes protejan su propiedad intelectual, la información del producto y los desarrollos del producto (“Objetivo”). Para facilitar el Objetivo contemplado en virtud del presente, Flint Group podrá recibir de, y podrá proporcionar a la Otra parte, cierta Información confidencial, según se define a continuación. La información de cada parte es de propiedad, secreta y confidencial y será divulgada por una parte a la otra en los siguientes términos y condiciones.
“Información confidencial” significará toda la información comercial, técnica y financiera de propiedad relacionada con el Objetivo estipulado anteriormente y divulgado por una parte a la otra, ya sea en forma directa o indirecta. En contraprestación del beneficio mutuo de dicha divulgación, y ratificando la importancia de mantener el secreto de cualquier Información confidencial divulgada, Flint Group y Otra Parte acuerdan lo siguiente:
1. Cada parte acuerda mantener Información confidencial a la otra parte en confianza y no divulgar Información confidencial a terceros, excepto según se indique expresamente en este Acuerdo o se acuerda por la otra parte por escrito. La parte receptora no utilizará la Información confidencial de la otra, excepto a los fines de este Acuerdo. En particular, la parte receptora no utilizará la Información confidencial de la otra en ninguna aplicación de patente, ya sea de los EE. UU. o extranjera, sin el consentimiento por escrito de la parte divulgadora. La parte receptora utilizará el mismo grado de cuidado, pero no menos que el grado razonable de cuidado, que el que la parte receptora utiliza para proteger su Información confidencial de una naturaleza similar para evitar la divulgación de la Información confidencial a terceros.
2. Las obligaciones de la parte receptora se aplicarán a Información confidencial que:
(a) se divulgue en forma tangible y se identifique como “CONFIDENCIAL” al momento de la divulgación; o
(b) se divulgue oralmente, identificada como confidencial al momento de la divulgación y, dentro de treinta (30) días de la divulgación inicial, se resume y se designa como “CONFIDENCIAL” por escrito y se entrega a la parte receptora.
3. Las obligaciones de este Acuerdo no se aplicarán a ningún ítem de Información confidencial que
(a) esté o se ponga a disposición generalmente al público a través de ningún incumplimiento de la parte receptora,
(b) fuera conocida para la parte receptora antes de su divulgación de parte de la parte divulgadora, según se demuestra en los materiales en existencia al momento de la divulgación,
(c) se hace conocida para la parte receptora, sin restricción, desde una fuente que no sea la parte divulgadora, sin incumplimiento de este Acuerdo de parte de la parte receptora y de otro modo, que no viole los derechos de la parte divulgadora, o
(d) se desarrolle independientemente de parte de o para la parte receptora.
(e) La Información confidencial no será considerada como incluida en las excepciones anteriores simplemente porque está dentro del alcance de más información general dentro de la excepción. Una combinación de características no se considerará como incluida en las excepciones anteriores a menos que la combinación en sí misma, incluidos sus principios de operación, estén dentro de las excepciones.
4. Las obligaciones de este Acuerdo no se aplicarán a ningún ítem de Información confidencial que se deba divulgar conforme a la ley. Si se requiere que una parte por proceso judicial o administrativo divulgue Información confidencial de la otra, la parte que lo requiere notificará inmediatamente a la otra de manera que la última tenga la oportunidad razonable de oponerse o limitar dicha divulgación.
5. Las obligaciones de este Acuerdo se aplicarán a la Información confidencial divulgada desde el 15 de abril de 2014 hasta el 31 de marzo de 2017, a menos que sea rescindido antes por escrito por las partes (“Duración”).
6. Las obligaciones de este Acuerdo continuarán durante un período de cinco (5) años desde el final de la Duración de este Acuerdo.
7. Nada de lo que aparezca en este Acuerdo se interpretará como obligación en ninguna forma de alguna de las partes de adquirir o vender bienes o servicios o de celebrar ninguna transacción. Si alguna de las partes determina que no desea celebrar ninguna transacción con la otra, dicha parte asesorará rápidamente a la otra acerca de este hecho. En dicho caso o rápidamente a pedido de la otra parte, cada parte destruirá o entregará a la otra parte Información confidencial proporcionada a esa parte, excepto que el asesor legal pueda conservar una copia solamente a los fines de archivarla.
8. Independientemente de cualquier otra disposición en contrario de este Acuerdo, cada parte acuerda que no divulgará o transferirá Información confidencial a la otra, o cualquier producto realizado utilizando la Información confidencial, directa o indirectamente, a cualquier país (o a cualquier individuo en o que represente a dicho país) en el que dicha divulgación o transferencia se prohíba o sea regulada por las leyes o normativas de los Estados Unidos de América (incluido, entre otros, las normativas de administración de exportación del Departamento de Comercio de los Estados Unidos), a menos que la parte primero haya obtenido el consentimiento por escrito de la otra y una licencia de exportación válida del Departamento de Comercio de los Estados Unidos.
9. La validez, interpretación y el desempeño de este Acuerdo serán regidos por e interpretados conforme con las leyes del Estado de Carolina del Norte sin recurrir a sus disposiciones de las leyes privadas. Ambas partes aceptan irrevocablemente a la jurisdicción de todos los tribunales estatales y federales con sede en el Condado de Mecklenburg, Carolina del Norte y acuerdan que la jurisdicción para cualquier acción legal presentada en relación con este Acuerdo permanecerá exclusivamente en dichos tribunales.
10. Este Acuerdo constituye el entendimiento total de las partes y una declaración exclusiva y completa de su acuerdo con respecto al Objetivo y a las obligaciones de este Acuerdo. Este Acuerdo no podrá ser enmendado, excepto mediante un documento por escrito que haga referencia específica a este Acuerdo y que sea firmado por funcionarios autorizados de ambas partes.
En testimonio de lo cual, las partes han hecho firmar este Acuerdo mediante sus representantes debidamente autorizados.
